Distance Sales Agreement

This Distance Sales Agreement applies to online purchases made from HIBA FABRICS through our website. By placing an order, the Customer confirms that they have read, understood, and accepted this Agreement, together with our Terms of Service, Privacy Policy, Shipping Policy, and Return, Refund & Cancellation Policy.

The Buyer is the person who places an order through the HIBA FABRICS website. The Buyer’s name, billing address, shipping address, phone number, email address, order details, and payment information are provided by the Buyer during checkout and are included in the order confirmation, invoice, and related order records.
2. Subject of the Agreement
This Agreement governs the online sale and delivery of products purchased from HIBA FABRICS, including fabric by the meter, cut fabric, fabric swatches, retail fabric orders, wholesale fabric orders, bulk fabric orders, roll orders, and related textile products.
All transactions are concluded remotely through the internet without the simultaneous physical presence of the Seller and the Buyer.
3. Product and Order Information
The main characteristics of the products, including fabric type, colour, composition, width, weight, quantity, meter length, price, stock availability, product images, and other relevant product information, are shown on the product page, cart page, checkout page, and order confirmation where applicable.
The Buyer accepts that the final order details, including product name, selected quantity, fabric length, unit price, total price, shipping cost, taxes, discounts, payment method, and delivery address, are the details confirmed at checkout and included in the order confirmation.
Order-specific information displayed at checkout and in the order confirmation forms an integral part of this Agreement.
4. Fabric Sold by the Meter and Cut Fabric
Many HIBA FABRICS products are sold by the meter and are cut according to the quantity or length selected by the Buyer.
Once fabric has been cut to the length requested by the Buyer and the item or order has been fulfilled, dispatched, shipped, or handed over to the carrier, it cannot normally be cancelled, returned, exchanged, or refunded for change of mind.
Cut fabric is prepared specifically for the Buyer’s order and cannot usually be resold in its original condition.
This rule does not affect the Buyer’s legal rights if the product is confirmed to be damaged, defective, incorrect, or not as described.
5. Fabric Colour, Texture and Appearance
HIBA FABRICS works carefully to display fabric colours, textures, finishes, shine, transparency, drape, stretch, and appearance as accurately as possible through product images, videos, and descriptions.
However, fabric colours and appearance may vary depending on screen settings, monitor calibration, device type, lighting conditions, photography, fabric surface reflection, dye lot, production batch, and viewing environment.
Slight differences in colour, texture, shine, stretch, drape, transparency, weight, or appearance are not normally considered defects.
For important projects, bridalwear, eveningwear, abayas, modest fashion garments, production orders, or wholesale fabric orders, HIBA FABRICS strongly recommends ordering a fabric swatch before purchasing larger quantities.
6. Fabric Swatches
Fabric swatches are provided to help Buyers evaluate colour, texture, weight, stretch, transparency, drape, shine, and general suitability before placing a larger order.
Swatches are intended as a guide. There may still be slight variation between a swatch and later fabric orders due to dye lot, production batch, lighting, and fabric behaviour.
Fabric swatches are normally final sale unless the wrong swatch was sent or the swatch arrives damaged, defective, incorrect, or not as described.
7. Pricing, Taxes and Payment
Product prices are shown on the website and at checkout in the currency displayed to the Buyer.
Prices may be displayed in Turkish Lira or another currency depending on the Buyer’s location, store settings, Shopify Markets, currency conversion, or checkout configuration.
Unless otherwise stated at checkout, product prices may not include shipping costs, customs duties, VAT, import taxes, brokerage fees, clearance fees, or other local charges that may apply in the destination country.
The total amount payable by the Buyer, including product price, applicable taxes collected at checkout, shipping fees, discounts, and any available payment charges, is shown before the Buyer confirms the order.
Payment must be made using one of the accepted payment methods displayed at checkout. Orders may not be processed until payment has been successfully completed or authorized.
8. Order Confirmation and Acceptance
When the Buyer places an order through the website, the Buyer makes an offer to purchase the products in the cart.
The order is accepted only after payment has been processed and HIBA FABRICS confirms the order.
HIBA FABRICS reserves the right to refuse, cancel, limit, or adjust an order where there is a pricing error, stock issue, payment issue, suspected fraud, shipping restriction, incorrect customer information, technical error, or other issue affecting the order.
If an order is cancelled by HIBA FABRICS after payment has been taken, the Buyer will receive a refund to the original payment method where possible.
9. Order Processing and Delivery
Most orders require processing time before shipment. Processing may include payment confirmation, order review, fabric preparation, cutting, quality checking, packing, and handover to the courier.
Most retail fabric and swatch orders are processed within 1–5 business days, depending on order volume, fabric availability, cutting requirements, packaging requirements, and peak seasonal periods.
Wholesale, bulk, roll, special-order, or large-quantity fabric orders may require additional processing time.
Delivery times vary depending on the shipping method selected, courier service, destination country, customs processing, local delivery conditions, public holidays, and peak seasonal periods.
Shipping options, estimated delivery times, and available shipping rates are displayed at checkout where applicable.
Delivery estimates begin after the order has been fulfilled and handed over to the courier. Processing time is separate from shipping time.

10. Cancellations Before Fulfillment
The Buyer may request to cancel an order at any time before the item or order is fulfilled.
If the order has not yet been fulfilled, HIBA FABRICS will cancel the order and issue a refund to the original payment method where possible.
Once an item or order has been fulfilled, dispatched, shipped, or handed over to the carrier, it can no longer be cancelled. If the order has already been fulfilled, any return, refund, or withdrawal request will be handled according to this Agreement and our Return, Refund & Cancellation Policy.
11. Right of Withdrawal
For eligible purchases, the Buyer may have the right to withdraw from the distance sales contract within 14 days without giving a reason and without paying a penalty.
For goods, the 14-day withdrawal period starts from the day the Buyer, or a third party nominated by the Buyer other than the carrier, receives the goods.
If the order contains multiple items delivered separately, the 14-day withdrawal period starts from the day the last item in the order is delivered.
For eligible items, the Buyer may also exercise the right of withdrawal before delivery by notifying HIBA FABRICS in writing or through a durable medium.
The right of withdrawal may be exercised by contacting HIBA FABRICS at info@hibafabrics.com or through the customer account page where available.
Phone calls may be used for customer support, but formal withdrawal, cancellation, return, or refund requests should be submitted in writing or through a durable medium such as email, customer account request, or another written electronic method.
12. Exceptions to the Right of Withdrawal
Unless otherwise required by applicable law, the right of withdrawal does not normally apply to products prepared according to the Buyer’s specific requests or personal needs.
Because fabric sold by the meter is cut according to the specific quantity or length selected by the Buyer, cut fabric, custom fabric lengths, special-order fabric, wholesale cut orders, bulk cut orders, and similar customized fabric orders are normally excluded from change-of-mind withdrawal once the item or order has been fulfilled.
The following items cannot normally be returned, exchanged, or refunded unless they are confirmed to be damaged, defective, incorrect, or not as described:
- Cut fabric after the item or order has been fulfilled
- Custom fabric lengths after the item or order has been fulfilled
- Fabric sold by the meter after the item or order has been fulfilled
- Wholesale cut fabric orders after fulfillment
- Bulk fabric orders after fulfillment
- Roll orders after fulfillment
- Special-order products after fulfillment
- Used fabric
- Washed fabric
- Altered or sewn fabric
- Fabric that has been marked, damaged, scented, stained, or changed after delivery
- Swatches, unless incorrect, damaged, defective, or not as described
- Gift cards
- Sale or clearance items, unless required by applicable law
This exclusion does not apply where the product is confirmed to be damaged, defective, incorrect, or not as described.
13. Return Procedure for Eligible Returns
To start a return, withdrawal, refund, cancellation, damaged item, incorrect order, or not-as-described request, the Buyer must contact HIBA FABRICS before sending anything back.
The Buyer may contact HIBA FABRICS by email at info@hibafabrics.com or through the customer account page where available.
The Buyer should include the order number, name, contact details, product concerned, reason for the request, and any relevant photos or videos.
Items sent back without prior approval may not be accepted.

14. Return-After-Notice Timing
For eligible withdrawal returns, once the Buyer has notified HIBA FABRICS of the withdrawal request, the Buyer must send the item back without undue delay and no later than 14 days from the day the Buyer informed HIBA FABRICS of the withdrawal.
For other approved returns, HIBA FABRICS will provide return instructions after reviewing the request.
15. Weekend and Public Holiday Extension
If any cancellation, return, withdrawal, reporting, or refund-related deadline in this Agreement falls on a Saturday, Sunday, or public holiday, the deadline will be extended to the next business day.
A business day means Monday to Friday, excluding public holidays.
16. Condition of Returned Items
If a return is approved, the item must be returned in its original condition.
Returned items must be unused, unwashed, unaltered, unsewn, unmarked, free from stains, odours, damage, or signs of use, and returned with any original packaging where applicable.
Fabric must not be cut further, washed, sewn, altered, marked, damaged, scented, or used after delivery if the Buyer intends to report an issue or request a return.
If an item is returned in a condition that reduces its value, HIBA FABRICS may reduce the refund where permitted by applicable law.
17. Return Shipping Costs
For approved change-of-mind returns, eligible withdrawal returns, or other approved returns where HIBA FABRICS is not at fault, the Buyer is responsible for providing and paying for return shipping unless otherwise required by applicable law.
If the return is due to a confirmed error by HIBA FABRICS or a confirmed damaged, defective, incorrect, or not-as-described item, HIBA FABRICS will be responsible for the return shipping cost, unless otherwise required by applicable law.
HIBA FABRICS recommends using a tracked shipping service for approved returns. HIBA FABRICS is not responsible for return parcels that are lost, delayed, damaged, or not delivered to us unless the return shipping was arranged by HIBA FABRICS.
18. Restocking Fee
For approved change-of-mind returns or other approved returns where HIBA FABRICS is not at fault, a 10% restocking fee may be deducted from the refund amount where permitted by applicable law.
The restocking fee helps cover handling, inspection, repackaging, administrative processing, and return management costs.
A restocking fee will not be charged where the return is due to a confirmed error by HIBA FABRICS or a confirmed damaged, defective, incorrect, or not-as-described item.
Where applicable law does not allow a restocking fee or deduction for a specific return, the refund will be handled according to the applicable legal requirements.
19. Refunds
If a refund is approved, it will be processed back to the original payment method where possible.
For eligible statutory withdrawal returns, HIBA FABRICS will refund the product price and the standard outbound delivery cost where required by applicable law.
HIBA FABRICS does not refund any extra cost paid for premium, express, upgraded, or non-standard delivery if the Buyer selected a delivery method more expensive than the standard delivery option offered at checkout, unless otherwise required by applicable law.
For approved returns where HIBA FABRICS is not at fault, return shipping costs and any applicable 10% restocking fee may be deducted from the refund amount where permitted by applicable law.
HIBA FABRICS may withhold the refund until the returned goods have been received or until the Buyer has provided evidence that the goods have been sent back, whichever happens first, unless otherwise required by applicable law.
After receiving and inspecting an approved return, HIBA FABRICS will notify the Buyer whether the refund has been approved.
If approved, the refund will normally be processed within 10 business days, unless a different timeframe is required by applicable law.
The Buyer’s bank, card issuer, or payment provider may take additional time to process and post the refund.
20. Damaged, Defective, Incorrect, or Not-as-Described Products
The Buyer should inspect the order as soon as it arrives.
If the order arrives damaged, defective, incorrect, or not as described, the Buyer should contact HIBA FABRICS as soon as possible at info@hibafabrics.com.
The Buyer should include the order number, clear photos or videos of the issue, and a short explanation of the problem.
If HIBA FABRICS confirms that the wrong fabric, wrong swatch, incorrect item, damaged item, defective item, or not-as-described item was supplied, HIBA FABRICS may offer a replacement, repair, store credit, partial refund, full refund, or another appropriate solution depending on the situation and applicable law.
This Agreement does not limit any mandatory consumer rights the Buyer may have under applicable law.
21. Customs, Duties, VAT and Import Charges
International orders may be subject to customs duties, VAT, import taxes, brokerage fees, clearance fees, or other government charges depending on the destination country.
Where taxes, VAT, or duties are collected at checkout, they will be shown during the checkout process where applicable.
If these charges are not collected at checkout, they may be collected by the courier, customs authority, or local government before delivery.
Any additional customs duties, VAT, taxes, import charges, brokerage fees, or clearance fees charged at the border are the responsibility of the Buyer unless otherwise stated during checkout or required by applicable law.
HIBA FABRICS cannot control customs processing times, customs inspections, import restrictions, or charges imposed by destination countries.
22. Incorrect, Incomplete, or Undeliverable Addresses
The Buyer is responsible for providing a correct and complete shipping address, phone number, email address, postal code, and delivery information at checkout.
HIBA FABRICS is not responsible for delays, failed deliveries, returned parcels, or additional costs caused by incorrect, incomplete, outdated, or undeliverable information provided by the Buyer.
If a parcel is returned because of an incorrect address, failed delivery attempt, refusal to accept the parcel, or failure to collect the parcel, the Buyer may be responsible for the original shipping cost, return shipping cost, reshipping cost, customs charges, and other related costs, unless otherwise required by applicable law.
23. Wholesale and Bulk Orders
Wholesale fabric orders, bulk orders, roll orders, special sourcing requests, and business-to-business transactions may be subject to additional or separate terms agreed between HIBA FABRICS and the wholesale customer.
Wholesale enquiries do not create a binding order until pricing, quantity, availability, payment terms, shipping terms, and order details have been confirmed by HIBA FABRICS.
Wholesale and bulk customers are responsible for reviewing fabric details, quantity, colour, stock availability, shipping terms, customs requirements, taxes, and suitability before confirming an order.
24. Privacy and Personal Data
Personal information provided by the Buyer is processed according to our Privacy Policy.
HIBA FABRICS may process and share necessary personal information with Shopify, payment providers, courier companies, customs authorities, fulfilment partners, tax providers, and other service providers where required to process orders, deliver products, comply with legal obligations, prevent fraud, and provide customer support.
25. Liability
To the fullest extent permitted by applicable law, HIBA FABRICS is not liable for indirect, incidental, special, consequential, or similar damages arising from the use of our website, products, services, or fabrics.
This includes, without limitation, loss of profits, loss of revenue, production delays, garment production issues, replacement costs, or business interruption.
Nothing in this Agreement excludes or limits liability where such exclusion or limitation is not permitted by applicable law.
26. Force Majeure
HIBA FABRICS will not be responsible for delays, failures, losses, or disruptions caused by events outside our reasonable control.
This may include courier delays, customs delays, natural disasters, extreme weather, fire, flood, war, civil unrest, strikes, labour disputes, government actions, border restrictions, pandemics, epidemics, supply chain disruptions, internet outages, platform outages, payment provider issues, or other events beyond our reasonable control.
27. Applicable Law and Consumer Rights
This Agreement is governed by the laws of Türkiye, unless mandatory consumer protection laws in the Buyer’s country, state, province, or region provide otherwise.
Nothing in this Agreement is intended to limit any mandatory consumer rights the Buyer may have under applicable consumer protection laws.
If any part of this Agreement conflicts with mandatory consumer rights in the Buyer’s jurisdiction, the mandatory consumer rights will apply to the extent required by law.
